All intellectual property on the Platform (except for User Generated Content) is owned by HUNG HING MOTOR AND ENGINEERING WORKS COMPANY or its licensors, which includes materials protected by copyright, trademark, or patent laws. All trademarks, service marks and trade names (eg , the HUNG HING MOTOR AND ENGINEERING WORKS COMPANY name and the design) are owned, registered and/or licensed by HUNG HING MOTOR AND ENGINEERING WORKS COMPANY. All content on the Platform (except for User Generated Content), including but not limited to text , software, scripts, code, designs, graphics, photos, sounds, music, videos, applications, interactive features and all other content ("Content") is a collective work under the copyright laws of Hong Kong and other countries and is the proprietary property of HUNG HING MOTOR AND ENGINEERING WORKS COMPANY; All rights reserved. You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify HUNG HING MOTOR AND ENGINEERING WORKS COM PANY trademarks in any way, including in advertising or publicity pertaining to distribution of materials on the Platform, without HUNG HING MOTOR AND ENGINEERING WORKS COMPANY's prior written consent. The use of HUNG HING MOTOR AND ENGINEERING WORKS COMPANY trademarks on any other website or network computer environment, for example the storage or reproduction of (a part of) the Platform in any external Internet site or the creation of links, hypertext or deeplinks between the Platform and any other Internet site, is prohibited without the express written consent of HUNG HING MOTOR AND ENGINEERING WORKS COMPANY.
平台使用限制 Platform Use Restrictions
您只能为您自己的非商业用途使用本内容参与本平台、下订单或购买产品。您同意不修改或删除任何您下载的资料或从本平台列印的资料上的所有权声明。您同意未经鸿兴机械公司事先书面同意不改变、复制、翻译、广播、表演、展示、散布、设计、生产、再版、下载、发表、传输或销售任何本平台上出现的知识产权或内容，包括使用者生成内容，但是您自己合法发布于本平台的使用者生成内容除外。您同意不使用任何资料采撷、机器人协定（爬虫协定）、资料抓取或其他相类似的资料收集方法。本使用条款中任何内容不应被解释为许可您任何知识产权。
You may use the Content only for your own non-commercial use to participate in the Platform or to place an order or purchase HUNG HING MOTOR AND ENGINEERING WORKS COMPANY products. You agree not to change or delete any ownership notices from materials downloaded or printed from the Platform. You agree not to modify, copy, translate, broadcast, perform, display, distribute, frame, reproduce, republish, download, post, transmit or sell any Intellectual Property or Content appearing on the Platform, including User Generated Content (defined below), without HUNG HING MOTOR AND ENGINEERING WORKS COMPANY's prior written consent, unless it is your own User Generated Content that you legally post on the Platform. You agree not to use any data mining, robots, scraping or similar data gathering methods. Nothing in these Terms of Use shall be interpreted as granting any license of intellectual property rights to you.

展示于本平台的价格和其他产品资讯仅为要约邀请，且您的订单应被视为要约。所有通过本平台生成的订单均需经鸿兴机械公司的接受。只有当鸿兴机械公司向您发出发货确认的电子邮件，通知您鸿兴机械公司已将您订购的产品发出时，才构成鸿兴机械公司对您的订单的接受，鸿兴机械公司和您之间的订购合同才成立。如果您在一份订单里订购了多种产品，而鸿兴机械公司只向您发出了其中部分产品的发货确认电子邮件，那么鸿兴机械公司和您之间的订购合同仅就该部分产品成立。这意味着鸿兴机械公司可以按照本使用条款或其他正当理由拒绝接受或可以撤销任何订单，并不对您或其他任何人承担责任。详情请参见购买规则。
Price and other information of goods presented on the Platform is only an invitation for offer and your order shall be deemed as an offer. All orders placed through the Platform are subject to HUNG HING MOTOR AND ENGINEERING WORKS COMPANY's acceptance. Your order is accepted by HUNG HING MOTOR AND ENGINEERING WORKS COMPANY, and the purchase contract beween HUNG HING MOTOR AND ENGINEERING WORKS COMPANY and you is formed, only when HUNG HING MOTOR AND ENGINEERING WORKS COMPANY sends you the confirmation email informing that the products you ordered have been sent out. If you have ordered more than one product under a single order, the purchase contract is formed only in relation to the product(s) for which HUNG HING MOTOR AND ENGINEERING WORKS COMPANY has issued a confirmation email. This means that HUNG HING MOTOR AND ENGINEERING WORKS COMPANY may refuse to accept or may cancel any order, pursuant to these Terms of Use or for any other legitimate reason, and without liability to you or anyone else. 禁止代购销售 No Purchase for Resale
本平台着眼于向终端消费者提供需要的鸿兴机械公司产品，因此不允许代购销售。代购是指出于商业目的，您购买鸿兴机械公司的产品并将其转售或计画转售给他人（消费者、商家或任何第三方）的行为。如果鸿兴机械公司相信您有代购销售行为，鸿兴机械公司保留权利向您采取行动，包括但不限于，限制您的购买、取消您的订单及/或暂停或关闭您在本平台的帐户。
The Platform is intended solely for HUNG HING MOTOR AND ENGINEERING WORKS COMPANY to sell HUNG HING MOTOR AND ENGINEERING WORKS COMPANY products direct to end consumers, and therefore purchase for resale is not permitted. Purchase for resale means the purchase of HUNG HING MOTOR AND ENGINEERING WORKS COMPANY product by someone who resells, or intends to resell, the HUNG HING MOTOR AND ENGINEERING WORKS COMPANY product to others (consumers, businesses or any third party). If HUNG HING MOTOR AND ENGINEERING WORKS COMPANY believes you are involved in purchase for resale, HUNG HING MOTOR AND ENGINEERING WORKS COMPANY reserves the right to take any action against you, including, without limitation, to restrict sales to you, cancel your orders, and/or suspend or close your Platform account.

“使用者生成内容”为通信、资料、资讯、资料、评价、图片、档、讯息、通知、网站连结、文本资讯、音乐、视频、设计、图表、声音和其他任何您和/或其他本平台用户发布于本平台或以其他形式使其于本平台或通过本平台可见的内容，除非该内容由鸿兴机械公司所有。

"User Generated Content" is communications, materials, information, data, opinions, photos, profiles, messages, notes, website links, text information, music, videos, designs, graphics, sounds, and any other content that you and/or other Platform users post or otherwise make available on or through the Platform, except to the extent the Content is owned by HUNG HING MOTOR AND ENGINEERING WORKS COMPANY.

HUNG HING MOTOR AND ENGINEERING WORKS COMPANY is merely acting as a passive channel for such distribution and is not undertaking any obligation or liability relating to any User Generated Content or activities of users on the Platform. Even in the event HUNG HING MOTOR AND ENGINEERING WORKS COMPANY chooses to monitor any User Generated Content, HUNG HING MOTOR AND ENGINEERING WORKS COMPANY assumes no responsibility for, or any obligation to monitor or remove, such User Generated Content. HUNG HING MOTOR AND ENGINEERING WORKS COMPANY reserves the right to edit, remove, or refuse to post any User Generated Content or terminate your registered a ccount for any reason.

Your User Generated Content is not confidential or proprietary. You grant, and warrant that you have the right to grant, to HUNG HING MOTOR AND ENGINEERING WORKS COMPANY a non-exclusive, non-revocable, worldwide, transferable, royalty-free, perpetual right to use your User Generated Content in any manner or media now or later developed, for any purpose, commercial, advertising, or otherwise, including the right to translate, display, reproduce, modify, create derivative works, sublicense, distribute, assign and commercialize without any payment due to you.

移动设备 Mobile Services

By using HUNG HING MOTOR AND ENGINEERING WORKS COMPANY's mobile services, you agree that we may communicate with you by electronic means to your mobile Device and that certain information about your use of these services may be shared with us. If you change or deactivate your mobile phone number, you must promptly update your account information to ensure that we don' t send your messages to a different person.
赔偿 Indemnification
您同意赔偿、辩护、使鸿兴机械公司及其关联公司、管理人员、董事、雇员、代理人、许可人以及供应商免受任何指控、损失、责任、费用、损害，包括但不限于，由于您的使用者生成内容、您对内容的使用、平台使用、您关于本平台或平台其他用户的行为、或对本使用条款的违反、违法或侵犯第三方权利所引起的或与之相关的律师费用。
You agree to indemnify, defend, and hold harmless HUNG HING MOTOR AND ENGINEERING WORKS COMPANY, Inc, its affiliates, officers, directors, employees, agents, licensors and suppliers from and against all claims, losses, liabilities, expenses, damages and costs, including, without limitation, attorneys' fees, arising from or relating in any way to your User Generated Content, your use of Content, your use of the Platform, your conduct in connection with the Platform or with other Platform users, or any violation of these Terms of Use, any law or the rights of any third party.

HUNG HING MOTOR AND ENGINEERING WORKS COMPANY does not represent or warrant that the Platform will be uninterrupted or error-free, that any defects will be corrected, or that this Platform or th e server that makes the Platform available are free of viruses or anything else harmful. To the fullest extent permitted by applicable law, HUNG HING MOTOR AND ENGINEERING WORKS COMPANY does not make any warranties or representations regarding the use of the materials or Content in the Platform in terms of their correctness, accuracy, adequacy, usefulness, reliability or otherwise. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE PLATFORM. YOUR ONLY REMEDY AGAINST HUNG HING MOTOR AND ENGINEERING WORKS COMPANY FOR USE OF THE PLATFORM OR ANY CONTENT IS TO STOP USING THE PLATFORM. THAT SAID, IF HUNG HING MOTOR AND ENGINEERING WORKS COMPANY IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH IS IN ANY WAY CONNECTED WITH YOUR USE OF THIS PLATFORM OR ANY CONTENT, HUNG HING MOTOR AND ENGINEERING WORKS COMPANY'S LIABILITY SHALL NOT EXCEED HK$100.00. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
其他 Miscellaneous
您同意关于本平台、本使用条款、隐私政策以及任何您和鸿兴机械公司之间的纠纷（以下简称“纠纷”）均适用香港法律，除冲突规则外。除非另有禁止，您同意所有由此平台直接或间接产生的或与之相关的纠纷、索赔和诉讼（包括但不限于鸿兴机械公司产品的购买）应单独解决，不诉诸任何形式的集体诉讼，且均应提交香港有管辖的法院依照香港法律解决。您同意放弃全部向香港有管辖的法院提出不方便管辖的抗辩的权利。通过使用本平台，您同意接受鸿兴机械公司发出的特定的电子通讯资讯。您同意鸿兴机械公司发送的任何电子通知、协定、披露或其他通信满足法律通讯要求，包括该等通信资讯应为书面作出的。鸿兴机械公司未能严格执行任何本使用条款中的条款将不被视为放弃该等条款或权利。不论是双方行为还是贸易实践均不能对本使用条款进行修改。鸿兴机械公司可在不事先通知的情况下，在任何时间转让本使用条款下的任何权利和义务给任何第三方。
You agree that this Platform, Terms of Use, Privacy Policy and any dispute between you and HUNG HING MOTOR AND ENGINEERING WORKS COMPANY (“Dispute”) shall be governed in all respects by the laws of Hong Kong, without regard to choice of law provisions . Except where prohibited, you agree that all disputes, claims and legal proceedings directly or indirectly arising out of or relating to the Platform (including but not limited to the purchase of HUNG HING MOTOR AND ENGINEERING WORKS COMPANY products) shall be resolved individually, without resort to any form of class action, and exclusively in the court having jurisdiction over the dispute in Hong Kong in accordance with the laws of Hong Kong. You consent to waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the courts having jurisdiction over the dispute in Hong Kong . By using the Platform, you agree to receive certain electronic communications from HUNG HING MOTOR AND ENGINEERING WORKS COMPANY. You agree that any notice, agreement, disclosure or other communication that HUNG HING MOTOR AND ENGINEERING WORKS COMPANY sends you electronically will satisfy any legal communication requirements, including that such communications be in writing. HUNG HING MOTOR AND ENGINEERING WORKS COMPANY's failure to insist upon or enforce strict performance of any of these Terms of Use shall not be considered a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall modify any of these Terms of Use. HUNG HING MOTOR AND ENGINEERING WORKS COMPANY may assign its rights and duties under these Terms of Use to any party at any time without notice to you.
可分割性 Severability
如果这些使用条款中的某一条款无效，不影响其他条款继续有效。如果这些使用条款中的某一条款被认定是违法、无效或不可执行，则该部份将被视为与本使用条款相分割，所有使用条款的其余条款之有效性及可执行性均不受其影响。
If any provision in these Terms of Use is held invalid, the remainder of these Terms of Use shall continue to be enforceable. If any provision in these Terms of Use is deemed unlawful, void or unenforceable, then that provision is deemed severable from these Terms of Use and the remaining provisions are still valid and enforceable.
终止条款 Termination
鸿兴机械公司保留不经通知，以任何理由或无理由单方终止您帐户、删除您用户个人资料以及其使用者生成内容以及限制您使用本平台的全部或部分的权利，并且不对您或任何人承担责任。鸿兴机械公司同样保留阻止用户从特定的IP位址或者设备登陆平台的权利。您理解并同意即使你的使用者生成内容被删除或您的帐户被终止，您的一些使用者生成内容，例如您存储于个人资料之外的、位于活动资讯的、在本平台其他部分的，或在其他平台上的（例如，微博、谷歌等等）使用者生成内容，可能会继续出现在本平台或其他平台上。您的帐户被终止后，这些使用条款仍然有效。涉及知识产权的使用条款、赔偿条款、用户互动的免责声明、免责声明、责任限制条款、其他条款、可分割性条款以及其他按其性质可继续适用的条款将于本使用条款终止后继续适用。

HUNG HING MOTOR AND ENGINEERING WORKS COMPANY also reserves the right to block users from certain IP addresses or Device numbers and prevent access to the Platform. You understand and agree that some of your User Generated Content, such as that which is displayed outside your profile, in activity feeds, in other parts of the Platform, or on other platforms (eg Weibo, Google, etc), may continue to appear on the Platform or on other platforms even after your User Generated Content is removed or your account is terminated. These Terms of Use remain in effect even after your account is terminated.
